These Terms of Service ("Terms") govern your access to and use of CathyBot's AI-powered customer support service, including our website, dashboard, chatbot widgets, APIs, and related services (collectively, the "Service").

By creating an account, accessing the Service, or using any of our features, you agree to:

• Comply with all applicable laws and regulations
• Be at least 18 years old or the age of majority in your jurisdiction
• Have the authority to enter into this agreement on behalf of your organization (if applicable)

If you do not agree to these Terms, you must not use the Service.

2. Service Description

CathyBot provides an AI-powered chatbot platform that:

• Integrates with your Google Drive to learn from your documents
• Generates intelligent responses to customer inquiries
• Can be embedded on your website or application
• Provides analytics and conversation insights
• Offers customization options for branding and behavior

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice, though we will make reasonable efforts to notify you of material changes.

3. Account Registration and Security

3.1 Account Creation

To use the Service, you must create an account by providing accurate and complete information. You agree to:

• Provide truthful, accurate, and current information
• Maintain and update your information to keep it accurate
• Not impersonate any person or entity
• Not create an account if you were previously banned from the Service

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach

CathyBot is not liable for any losses arising from unauthorized use of your account.

3.3 One Account Per User/Organization

You may only create one account unless you have our written permission. Multiple accounts created to circumvent restrictions or abuse the Service may be terminated.

4. Acceptable Use Policy

4.1 Permitted Use

You may use CathyBot to provide automated customer support, answer questions, and assist your website visitors in accordance with these Terms.

4.2 Prohibited Activities

You agree NOT to:

• Violate Laws: Use the Service for any illegal purpose or in violation of any local, state, national, or international law
• Harmful Content: Upload, transmit, or train the bot on content that is:
  • Illegal, harmful, threatening, abusive, harassing, or discriminatory
  • Contains malware, viruses, or harmful code
  • Infringes intellectual property rights or violates privacy rights
  • Contains child sexual abuse material or promotes exploitation
  • Promotes violence, terrorism, or self-harm
• Misuse:
  • Reverse engineer, decompile, or attempt to extract source code
  • Circumvent technical limitations or security measures
  • Use automated systems to scrape or harvest data from the Service
  • Interfere with or disrupt the Service or servers
  • Attempt to gain unauthorized access to any systems or networks
• Spam and Abuse: Send spam, phishing attempts, or engage in fraudulent activities
• Competitive Use: Use the Service to build a competing product or service
• Resale: Resell, sublicense, or redistribute the Service without our written consent

4.3 AI Content Guidelines

When training your chatbot, you must:

• Have the legal right to use all content you provide
• Not use content that violates third-party rights
• Ensure your bot's responses comply with applicable laws (e.g., truth in advertising, consumer protection)
• Not attempt to mislead users into believing they're interacting with a human when they're not (unless clearly disclosed)

5. Google Drive Integration

5.1 Authorization

By connecting your Google Drive account, you authorize CathyBot to:

• Access files and folders you explicitly grant permission to
• Read and process the content of authorized documents
• Monitor changes to authorized documents for automatic updates

5.2 Your Responsibilities

• You are responsible for ensuring you have the right to share all connected documents
• You must comply with Google's Terms of Service and API policies
• You can revoke access at any time through your Google account settings

5.3 Data Processing

Content from your Google Drive is processed to train your chatbot's AI model. See our Privacy Policy for details on how we handle this data.

6. Intellectual Property Rights

6.1 Our Intellectual Property

CathyBot, our logo, the Service, and all related content, features, and functionality are owned by CathyBot and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes, subject to these Terms.

6.2 Your Content

You retain all ownership rights to content you upload, create, or transmit through the Service ("Your Content"). By using the Service, you grant CathyBot a worldwide, non-exclusive, royalty-free license to:

• Use, copy, store, and process Your Content to provide and improve the Service
• Train and improve our AI models (in aggregated, anonymized form where possible)
• Generate analytics and insights

6.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, we may use them without any obligation to you.

6.4 DMCA and Copyright Infringement

We respect intellectual property rights. If you believe content on our Service infringes your copyright, contact us at legal@cathybot.com with:

• Identification of the infringing material

• A statement of good faith belief that use is not authorized

7. Payment Terms and Subscriptions

7.1 Pricing

Certain features of the Service require a paid subscription. Current pricing is available at cathybot.com/pricing.html. We reserve the right to change pricing with 30 days' notice.

7.2 Billing

• Subscription Plans: Billed monthly or annually in advance
• Auto-Renewal: Subscriptions automatically renew unless you cancel before the renewal date
• Payment Methods: We accept major credit cards and other payment methods via our payment processors
• Taxes: Prices exclude applicable taxes, which will be added to your invoice

7.3 Free Trials

We may offer free trials for new users. If you don't cancel before the trial ends, you'll be charged for a subscription.

7.4 Refund Policy

• Monthly Plans: No refunds for partial months
• Annual Plans: Prorated refunds available within 30 days of initial purchase
• Exceptions: Refunds may be issued at our sole discretion for technical issues or billing errors

7.5 Late Payment and Suspension

If payment fails, we may:

• Retry charging your payment method
• Suspend your access to the Service
• Terminate your account after 15 days of non-payment

8. Service Level and Availability

8.1 Uptime

We strive to maintain 99.9% uptime for paid plans, but we do not guarantee uninterrupted access. Scheduled maintenance will be announced in advance when possible.

8.2 No Warranty

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to:

• Warranties of merchantability or fitness for a particular purpose
• That the Service will be error-free, secure, or uninterrupted
• That AI-generated responses will be accurate, appropriate, or complete

8.3 AI Accuracy Disclaimer

IMPORTANT: CathyBot uses artificial intelligence to generate responses. While we strive for accuracy:

• AI-generated responses may contain errors or inaccuracies
• You are responsible for reviewing and monitoring your bot's responses
• You should implement human oversight for critical or sensitive interactions
• We are not responsible for decisions made based on AI-generated content

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• CathyBot, its affiliates, officers, directors, employees, and agents SHALL NOT BE LIABLE for any indirect, incidental, special, consequential, or punitive damages, including:
  • Loss of profits, revenue, data, or business opportunities
  • Costs of substitute services
  • Damage to reputation or goodwill
• OUR TOTAL LIABILITY for any claims arising from or related to the Service SHALL NOT EXCEED the amounts paid by you to CathyBot in the 12 months preceding the claim, or $100, whichever is greater

This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if we've been advised of the possibility of such damages.

9.1 Exceptions

Some jurisdictions do not allow limitations on implied warranties or liability for incidental or consequential damages. In such jurisdictions, the above limitations may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless CathyBot and its affiliates, officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Content you provide or that your chatbot generates
• Your violation of applicable laws or regulations

11. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

11.1 Data Ownership

• Your Data: You own all data you upload and conversations your bot conducts
• Aggregated Data: We may use aggregated, anonymized data for analytics and service improvement

11.2 Data Portability

You can export your data at any time through your account dashboard.

11.3 Data Deletion

Upon account termination, we will delete your data according to our retention policies (see Privacy Policy). You can request immediate deletion by contacting support.

12. Term and Termination

12.1 Term

These Terms begin when you first access the Service and continue until terminated by you or us.

12.2 Termination by You

You may terminate your account at any time through your account settings or by contacting support. You remain responsible for all charges incurred before termination.

12.3 Termination by Us

We may suspend or terminate your account immediately if you:

• Fail to pay fees when due
• Engage in fraudulent or illegal activities
• Pose a security risk to the Service or other users

We will provide notice when reasonably possible, but immediate termination may be necessary in cases of severe violations or legal requirements.

12.4 Effect of Termination

Upon termination:

• Your right to access the Service immediately ceases
• Your chatbot widgets will stop functioning
• We may delete your data according to our retention policies
• Provisions that by their nature should survive (e.g., liability limitations, indemnification) will remain in effect

13. Dispute Resolution and Governing Law

Our failure to enforce any right or provision of these Terms does not constitute a waiver of such right or provision.

15.5 Force Majeure

We are not liable for failures or delays due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, labor disputes, pandemics, government actions, or internet/telecommunications failures.

15.6 Export Compliance

You agree to comply with all applicable export and import laws and regulations. You represent that you are not located in a country subject to U.S. government embargo or designated as a "terrorist supporting" country.

15.7 Government Use

If you are a U.S. government entity, the Service is a "commercial item" as defined in 48 C.F.R. §2.101, and is licensed with only those rights as are granted to all other users.

Beta Features

If you use our API, you must comply with our API Documentation and rate limits. API abuse may result in throttling or termination of access.

Educational and Non-Profit Discounts

We may offer discounts for qualified educational institutions and non-profit organizations. Eligibility is determined at our sole discretion and requires verification.
